Welcome to Cloud Lab Pro. By accessing or using our laboratory management system, you agree to be bound by these Terms of Service. Please read them carefully.
1. Acceptance of Terms
By creating an account, accessing, or using Cloud Lab Pro (the "Service"), you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.
These Terms apply to all users, including but not limited to laboratory owners, managers, receptionists, technicians, and any other personnel who access the Service.
2. Service Description
Cloud Lab Pro provides a comprehensive laboratory management system designed to:
- Manage patient records and test orders
- Track samples and laboratory workflows
- Enter, review, and approve test results
- Generate and distribute professional laboratory reports
- Manage multiple laboratory branches and staff roles
- Maintain audit trails for compliance and quality assurance
3. Account Registration
3.1 Account Creation: To use the Service, you must register an organization account and provide accurate, complete, and current information.
3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
3.3 Account Verification: Organization accounts require verification before full access is granted. We reserve the right to refuse service or terminate accounts at our discretion.
3.4 User Roles: Each user within your organization must have an assigned role (Owner, General Manager, Manager, Receptionist, or Lab Technician). You are responsible for managing user access and ensuring appropriate role assignments.
4. User Responsibilities
4.1 Data Accuracy: You are responsible for the accuracy, completeness, and quality of all data entered into the Service, including patient information, test results, and reports.
4.2 Compliance: You must comply with all applicable laws, regulations, and professional standards, including but not limited to healthcare regulations, data protection laws (HIPAA, GDPR, etc.), and laboratory accreditation requirements.
4.3 Prohibited Activities: You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to any part of the Service
- Upload or transmit viruses, malware, or malicious code
- Reverse engineer, decompile, or disassemble any part of the Service
- Share your account credentials with unauthorized parties
- Use the Service to transmit spam or unsolicited communications
4.4 Professional Standards: Medical and laboratory professionals must adhere to their professional codes of conduct and ethical standards when using the Service.
5. Data Privacy and Security
5.1 Data Ownership: You retain ownership of all data you enter into the Service. Cloud Lab Pro claims no ownership rights over your data.
5.2 Data Protection: We implement security measures in compliance with the Nigeria Data Protection Act 2023 (NDPA) and the GAID 2025 to protect your data, including:
- Encrypted data transmission (HTTPS/TLS)
- Secure data storage with encryption at rest
- Role-based access control (RBAC)
- Branch-level data isolation
- Comprehensive audit logging
- Regular security assessments and updates
5.3 Privacy Policy: Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which complies with the NDPA and GAID.
5.4 Data Backup: While we perform regular backups, you are encouraged to maintain your own backup copies of critical data.
5.5 Sensitive Personal Data: Patient health data processed through the Service constitutes Sensitive Personal Data under the NDPA. Such data is processed solely for the purpose of laboratory management and healthcare delivery under lawful bases including contractual necessity and vital interest.
6. Service Availability
6.1 Uptime: We strive to maintain high availability but do not guarantee uninterrupted access to the Service. Scheduled maintenance will be announced in advance when possible.
6.2 Offline Functionality: The Service includes offline functionality for critical operations. Data entered offline will sync when connectivity is restored.
6.3 No Warranty: The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will meet your requirements or be error-free.
7. Subscription and Payment
7.1 Subscription Plans: Access to the Service requires a valid subscription. Pricing and plan details are available on our pricing page.
7.2 Payment Terms: Subscriptions are billed in advance on a monthly or annual basis. You authorise us to charge your payment method on file. All payments are processed securely through Paystack, a PCI DSS-compliant payment processor.
7.3 Refunds: Our complete refund policy is available at our Refund Policy page. In summary:
- Monthly subscriptions may be eligible for a pro-rata refund within the first 7 days if you have not substantially used the Service
- Annual subscriptions may be eligible for a pro-rata refund within the first 14 days
- Refund requests are processed within 14 business days
- All refund rights under the Federal Competition and Consumer Protection Act apply
7.4 Service Suspension: We may suspend or terminate your access for non-payment after reasonable notice. You remain responsible for all fees incurred before suspension.
8. Intellectual Property
8.1 Service Content: The Service, including its design, features, functionality, and all content (excluding user data), is owned by Cloud Lab Pro and protected by copyright, trademark, and other intellectual property laws.
8.2 License: We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose during your subscription period.
8.3 Restrictions: You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.
9. Limitation of Liability
9.1 Disclaimer: Cloud Lab Pro is a management tool and does not provide medical advice, diagnosis, or treatment. You are solely responsible for all clinical decisions and patient care.
9.2 Liability Limits: To the maximum extent permitted by law, Cloud Lab Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
9.3 Maximum Liability: Our total liability for any claims related to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Cloud Lab Pro, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any data you submit to the Service.
11. Termination
11.1 Termination by You: You may terminate your account at any time through your account settings or by contacting support.
11.2 Termination by Us: We may suspend or terminate your access immediately if you violate these Terms, fail to pay fees, or for any reason at our discretion with notice.
11.3 Data Retention: Upon termination, we will retain your data for a reasonable period (typically 90 days) to allow data export. After this period, data may be permanently deleted.
11.4 Survival: Sections regarding data ownership, intellectual property, limitation of liability, and indemnification survive termination.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes constitute acceptance of the new Terms.
If you do not agree to the modified Terms, you must discontinue use of the Service.
13. Governing Law and Dispute Resolution
13.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including but not limited to the Nigeria Data Protection Act 2023 (NDPA), the Federal Competition and Consumer Protection Act (FCCPA), and other applicable legislation.
13.2 Dispute Resolution: Any disputes arising from these Terms or your use of the Service shall first be resolved through good faith negotiation. If resolution is not reached within 30 days, disputes may be submitted to mediation or arbitration under the Arbitration and Mediation Act 2023.
13.3 Jurisdiction: You consent to the exclusive jurisdiction and venue of courts in the Federal Republic of Nigeria for any legal matters not subject to arbitration.
13.4 Consumer Rights: Nothing in these Terms shall limit your rights under the Federal Competition and Consumer Protection Act, the Nigeria Data Protection Act 2023, or any other applicable consumer protection legislation.
14. Miscellaneous
14.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cloud Lab Pro regarding the Service.
14.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
14.3 Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
14.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
